With this agreement, the parties are protected from stealing projects and ideas, as well as learning about a project that has not yet been completed and is being worked on by third parties and expressing ideas on it.
This document provides the parties with the right of control over the ideas and projects shared with another person or company. This agreement, which is used for the protection of trade secrets, contains provisions such as the purpose for which information will be exchanged, how long the information will be kept confidential, that information can only be transmitted to third parties to the extent permitted, and that this information will be returned or destroyed at the request of one of the parties.
The relevant party that violates this agreement or does not make efforts to protect it will be punished with compensation. For this reason, the penal clause is a sine qua non of a confidentiality agreement. The fact that the amount of the penal clause is a deterrent and is higher than the possible income that the other party may obtain by violating confidentiality is also important for the operability of the contract.
After this contract sample is completed, it should be printed out and signed by both parties. Each party should keep a copy of the contract.
